Terms of Service

By accessing, browsing or using Velia (the “Service”), whether as a creator or a shopper, you (“User”, “you”, “your”) agree to be legally bound by these Terms of Service (“Terms”), our Privacy Policy, and all other terms and policies posted on the Service. If you do not accept these Terms, you may not use the Service.

These Terms apply equally to all users: shoppers, creators, affiliates, and any other user category.

You represent and warrant that:

• You are at least 18 years old and of legal age to enter into binding agreements.
• You have the authority to enter into this agreement.
• Your use of the Service does not violate any applicable law, regulation or third-party right.
• You will comply with all applicable laws and regulations.

Velia reserves the right to terminate your account if these representations are false.

Velia provides a platform for:

• Shoppers: finding the same look for less and comparing prices across retailers.
• Creators: generating affiliate links and earning commissions when shoppers purchase through those links.

Velia is a comparison and affiliate referral tool only. We do not sell products, fulfil orders, process payments, handle returns, or provide customer service. All transactions are directly between you and third-party retailers (eBay, Amazon, etc.).

The Service is provided on an “as-is” basis. Velia makes no guarantee regarding the accuracy of product information, prices or matches; the availability of products or retailers; the quality of affiliate commissions or payment processing; or uptime, performance and uninterrupted service.

4.1 Your responsibilities. You are solely responsible for:

• Maintaining the confidentiality of your account credentials.
• All activity on your account.
• Ensuring your use complies with all laws and regulations.
• Independently verifying all product information before making any purchase.
• Reviewing retailer return policies, shipping terms and dispute procedures before buying.
• Complying with age restrictions on products (alcohol, tobacco, age-gated items). You represent that you meet all legal age requirements for products you purchase.
• Complying with local prohibitions on certain product categories (weapons, regulated substances, etc.). You are solely responsible for determining whether a product is legal to purchase, import or own in your jurisdiction.
• Verifying product legality in your location before purchasing. Some products legal in one jurisdiction may be illegal or restricted in another.

4.2 Prohibited conduct. You agree not to:

• Scrape, crawl or automate access to the Service or its data.
• Reverse engineer, decompile or attempt to access source code.
• Use the Service to build competing products or services.
• Post illegal, defamatory, obscene or infringing content.
• Harass, threaten or abuse other users.
• Engage in fraud, phishing or identity theft.
• Manipulate affiliate systems to earn false commissions.
• Interfere with Service infrastructure or security.
• Violate eBay's or other partners' terms of service.
• Use bots, automation or artificial methods to generate artificial engagement.
• Repeatedly contact Velia about product quality, delivery, returns, refunds or retailer conduct after being directed to the retailer — see clause 11.3.

Violating these terms may result in account termination and, where warranted, legal action.

4.3 Email communications & Canadian anti-spam law. By creating an account, you consent to receive transactional emails (account confirmations, password resets, payment notifications) and service updates. You may receive promotional emails only if you have explicitly opted in. You have the right to unsubscribe from promotional emails at any time by clicking the unsubscribe link in any email or updating your communication preferences in account settings. Velia complies with Canadian anti-spam legislation (CASL) and you acknowledge receipt of this Terms notice serves as consent for transactional communications required to operate the Service.

5.1 Velia's IP. Aside from the third-party content described in 5.3 — product photos, listings and data supplied by eBay, affiliate networks and retailers — all content on the Service, including our logos, text, code, design, graphics, features and technology, is owned or licensed by Velia and protected by copyright, trademark and patent laws. You may not copy, modify or create derivative works; publish, transmit or display the Service's content without permission; or use Velia trademarks without written consent.

5.2 User-generated content. If you submit content to Velia (feedback, reviews, messages), you grant Velia a worldwide, royalty-free, perpetual licence to use, modify and distribute that content. You represent that you own or have the right to grant this licence.

5.3 Third-party content. The Service contains data from eBay, affiliate networks and other third parties. Your use of that data is subject to those third parties' terms of service. Velia is not responsible for the accuracy or legality of third-party content.

5.4 Digital Millennium Copyright Act (DMCA). Velia respects intellectual property rights. If you believe content on Velia infringes your copyright or other intellectual property rights, please send a detailed notice to support@joinvelia.com with:

• Your name, contact information and signature.
• Identification of the copyrighted work.
• Location of the infringing content on the Service.
• A statement that you have a good-faith belief the use is unauthorised.
• A statement under penalty of perjury that your notice is accurate.

Upon receipt of a valid notice, Velia will promptly remove or disable access to the allegedly infringing material and notify the creator. Creators may file a counter-notice if they believe content was removed in error. Velia is not liable for copyright infringement by creators or users, provided it responds expeditiously to valid takedown notices.

6.1 Commission structure & payment contingency. Velia's obligation to pay you commissions is entirely contingent on whether Velia receives payment from the underlying affiliate network. This means:

• You're paid once Velia is paid. We pass on commissions as we receive them. If the affiliate network never pays Velia for a given sale, we have nothing to pass on for it — that outcome is outside our control.
• We pay based on confirmed network data, not self-reported figures. If your own tracking suggests a different amount than what's confirmed, we're happy to point you to the affiliate network, but we can only pay out what the network itself confirms and pays us.
• Affiliate network data is the only source of truth. Commissions are calculated solely from clicks tracked by the affiliate network, purchases the network attributes to your link, and payouts the network confirms to Velia. If the affiliate network does not report a click, purchase or payout, it did not happen from Velia's perspective.
• Velia makes no independent verification. We rely entirely on third-party affiliate networks (eBay, Amazon Associates, etc.) to track and report clicks and sales. We do not independently verify that clicks were legitimate, that purchases were genuine, or that commissions were correctly calculated.
• Affiliate network termination. If an affiliate network (eBay, Amazon, etc.) terminates or restricts Velia's access to its programme, Velia is not responsible for lost commissions, suspended payouts, or inability to generate new affiliate links. Pending commissions are treated per sections 6.1–6.2 regardless of the reason for network access loss. Velia will notify creators of material changes to affiliate network access as soon as reasonably practicable.

6.2 Payment timing & delays. Velia has no obligation to pay you on any specific timeline. Payment timing depends entirely on when the affiliate network processes and pays Velia, the network's payment schedule (typically 30–90 days or longer after purchase), its hold periods, verification delays and fraud reviews, and Velia's internal payment processing. You acknowledge and agree that:

• Payment may take months or longer depending on the affiliate network's policies.
• There is no guaranteed payment date. Velia does not commit to paying creators by any specific time.
• Pending commissions may never be paid if the affiliate network does not confirm them or disputes them.
• Velia may hold commissions indefinitely while awaiting affiliate network confirmation.
• We move payments along as promptly as we reasonably can once we receive them, but we can't commit to a case-by-case timeline — the schedule is ultimately set by the affiliate network, not by individual requests.

If an affiliate network delays paying Velia, or never pays at all, we simply have nothing to pass on for that commission — no matter how long it takes or how many times you check in with us.

6.3 No accuracy guarantee. Affiliate tracking is imperfect: cookies expire, pixels fail to fire, tracking links break, and purchases may not attribute correctly. Velia does not guarantee that all your clicks and sales are tracked, nor that tracking, pricing or commission calculations are 100% accurate. Affiliate networks may undercount clicks, fail to attribute sales or incorrectly calculate payouts; those errors are the affiliate network's responsibility, not Velia's. Velia makes no warranty regarding the accuracy of any commission amounts displayed in your dashboard. Velia recommends all creators review the applicable affiliate network's documentation regarding cookie expiration, tracking limitations, and attribution rules. Affiliate tracking is inherent to how affiliate programmes operate, and these limitations are not specific to Velia. Understanding these factors will help you set realistic expectations for commission tracking and payout.

6.4 Chargebacks, refunds & clawbacks. If a customer files a chargeback, initiates a refund, or a transaction is disputed or found to be fraudulent, the affiliate network may reverse or claw back the commission. Velia isn't liable for chargebacks, refund-related reversals or clawbacks, and doesn't attempt to recover clawed-back commissions on your behalf — once an affiliate network reverses a payout, that commission is gone for both of us. This risk sits with you, the same way it does for any affiliate programme, because it's the network, not Velia, that decides whether a sale holds up.

6.5 Creator obligations & restrictions. As a creator, you:

• Must comply with FTC guidelines regarding sponsored and affiliate content (disclosures, transparency, etc.).
• Are solely responsible for disclosing affiliate relationships to your audience.
• Velia does not monitor, audit or verify creator compliance with FTC guidelines. You are solely responsible for understanding and complying with all FTC disclosure requirements. If Velia is notified that your content violates FTC rules or other laws, Velia may remove the content and/or terminate your account. Velia's removal of content or termination does not relieve you of legal responsibility for violations.
• May not engage in fraudulent clicks, fake purchases, click manipulation or commission fraud of any kind.
• May not misrepresent products or encourage purchases of unsuitable or illegal items.
• May not violate eBay's, Amazon's or other affiliate networks' terms — doing so may result in your affiliate account being terminated and all commissions forfeited.
• Should direct payment and commission-amount questions to the relevant affiliate network rather than Velia (see 6.7 below).

The activity requirement. To keep your creator page you need at least 3 confirmed sales in any rolling 100 days. A page that goes 100 days with fewer than 3confirmed sales may be closed and its username released. You agree to this separately when you set your page up, because it's the one term that can cost you the page. If your page is at risk we'll email you before anything happens.

These obligations are aimed at bad actors, not honest mistakes. Genuine violations — fraud, click manipulation, fake purchases and the like — may result in account termination, forfeiture of unpaid commissions and, where warranted, legal action to recover damages.

6.5.1 Velia's right to withhold commissions. Velia reserves the right to withhold, suspend, delay or forfeit all commissions (both pending and earned) for confirmed violation of these Terms, or where reasonable investigation reveals evidence of violation, including but not limited to:

• Click fraud or suspicious activity: confirmed click manipulation, bot traffic, artificial clicks, or repeated suspicious click patterns with supporting evidence.
• Fake purchases: confirmed evidence of fake orders, test purchases or manipulated transactions based on affiliate network or payment processor findings.
• FTC non-compliance: confirmed failure to disclose affiliate relationships where required by law.
• Affiliate network violations: confirmed breach of eBay's, Amazon's or another network's terms of service.
• Misrepresentation: a confirmed pattern of false or misleading claims about products in your promotional content.
• Illegal activity: confirmed promotion of illegal products or services, or encouragement of illegal purchases.
• Policy violations: confirmed breach of any material provision in these Terms.
• Investigation period: Velia may withhold commissions during an investigation into your account. Velia will complete the investigation within 60 days and notify you of the findings; if no violation is confirmed, the commissions are released.
• Account risk: Velia's documented determination, based on evidence, that your account poses a verified legal or business risk.
• Unapproved use: using Velia links on unapproved sites, with unapproved ads, or in violation of the Acceptable Use Policy.

Once commissions are withheld for a confirmed violation, they are forfeited and Velia keeps them. You will be notified of the violation that triggered the withholding, and you may dispute factual errors in the investigation by contacting Velia within 30 days with evidence. Where commissions are withheld pending investigation, Velia will investigate and notify you of its findings within 60 days; if no violation is confirmed, the withheld commissions are released, and if a violation is confirmed they are forfeited.

Arbitration of commission disputes. Disputes over whether a violation occurred can be resolved through arbitration if you disagree with Velia's investigation findings. You may request arbitration within 30 days of receiving Velia's final determination.

6.6 Commission disputes are not Velia disputes. Commission disputes are between you and the affiliate network, not Velia. If you believe you earned a commission that wasn't paid, you must contact the affiliate network (eBay, Amazon, etc.). Velia cannot adjust, override or correct affiliate network payouts, will not investigate claims of missing clicks, lost sales or incorrect calculations, and contacting Velia about a commission dispute will not result in payment — we will refer you to the affiliate network's support team. This does not affect your rights under 6.5.1 where Velia itself has withheld a commission.

6.7 Commission inquiries must go to affiliate networks. All commission disputes, payout questions and earnings inquiries must be directed to the relevant affiliate network — the eBay Affiliate Network for eBay commissions, Amazon Associates for Amazon commissions, and the applicable network otherwise. Velia only provides affiliate links and passes data to affiliate networks; we do not calculate, approve or process affiliate commissions, and the network has sole authority over commission amounts, tracking and payouts. If you repeatedly contact Velia about commission matters after being informed that these inquiries must go to the affiliate network, Velia may terminate your account for violating the Acceptable Use Policy.

6.8 No payment guarantee or promise. Velia can't guarantee that any particular amount of traffic will turn into paid commissions — that depends on factors genuinely outside our control, including affiliate network tracking and confirmation, refund activity on the underlying sale, and your own compliance with these Terms. By joining Velia's affiliate programme, you accept that commission income isn't guaranteed.

6.9 Indemnification for commission disputes. You agree to indemnify and hold harmless Velia from any claims, lawsuits or disputes arising from unpaid commissions; disputes with affiliate networks over payout amounts; claims that Velia owes you money for earned but unpaid commissions; any legal action you file against Velia regarding affiliate payments; and the damages, costs and attorneys' fees arising from commission-related disputes.

6.10 Limitation on commission disputes. Commission earning, tracking and payment are controlled entirely by the affiliate networks. If you believe commissions were not paid correctly, that clicks or sales were not tracked, or that payments were delayed or withheld by the network, you must pursue those claims with the affiliate network rather than Velia, and any legal action regarding them must be brought against the affiliate network.

6.11 Payment method — Stripe Connect. Confirmed commissions owed to you are paid out through Stripe Connect. Before you can receive a payout, you must complete Stripe's account setup and identity verification; Stripe, not Velia, collects and holds your bank, card and tax information, under its own terms and privacy practices.

If Stripe denies or cancels your account during identity verification or at any time, Velia cannot override that decision or force Stripe to accept you. Pending commissions are treated per sections 6.1–6.2: if Stripe terminates your payout account, Velia cannot pay you through an alternative method, and commissions remain subject to standard payment timing and affiliate network confirmation rules.

Delays, holds or restrictions that Stripe places on your payout account are outside Velia's control, and Velia is not responsible for payments that Stripe declines, delays or reverses.

6.12 Creator page handles and usernames. When your creator page is open, your chosen handle/username is reserved for your use on Velia. If your account or page is closed (by you or by Velia), your handle/username may be released for use by other users. Velia does not guarantee that a released handle will be held or re-available to you, and you have no claim to a previously-used handle after your page is closed. If you build personal brand around your Velia handle, be aware this is a Velia-specific identifier and does not transfer if your account is terminated.

6.13 Creator approval is Velia's decision. Opening a creator page is not a right. Velia may accept or decline any creator application in its sole discretion, with or without a stated reason, and that decision is final. Being declined doesn't entitle you to an explanation, reconsideration or compensation.

Creators are independent affiliates, not employees, contractors or agents of Velia. This means:

• You are not entitled to employment benefits, minimum wage, workers' compensation or unemployment insurance.
• Velia does not withhold taxes or provide tax documentation — you are responsible for your own tax obligations.
• You have no authority to represent Velia or bind Velia to any agreement, and you are not covered by Velia's insurance.
• You are solely responsible for all costs related to your participation (equipment, internet, content creation, etc.).
• Velia can end your account or affiliate status at any time, with or without cause — participation in the affiliate programme is something we grant, not a standing entitlement.
• Velia doesn't commit to running the affiliate programme forever, and may change commission rates or payout structures, or end the programme entirely, without notice or compensation. We'll try to give creators a heads-up where we reasonably can.
• Velia may suspend, withhold, delay or forfeit commissions in the circumstances set out in clause 6.5.1, including while an investigation into your account is open. Where an investigation confirms a violation, the withheld commissions are forfeited; where it does not, they are released.

Velia does not guarantee:

• That matched products are actually equivalent, identical or suitable for your needs.
• That prices are current or accurate.
• That products are in stock, available for purchase, or will remain available.
• That affiliate links will function or generate commissions.
• That retailer information is correct or up to date.
• That a product's photo, price, condition (e.g. listed as “new”), colour, size or description on Velia matches the actual item — that information is supplied by the retailer or affiliate network, not verified by Velia, and can be wrong or out of date.
• Product authenticity, quality, safety or compliance with regulations.
• That products shipped will match product descriptions.

You acknowledge and agree that:

• Velia is a comparison tool only and does not represent or warrant products.
• You will independently verify all product information, specifications, seller reputation and pricing before purchasing, and review the retailer's return policy, shipping terms and dispute procedures before completing a purchase.
• You are solely responsible for determining whether a product is suitable, legitimate, authentic and safe for your use. Velia does not inspect, test, validate or guarantee any products.
• Velia is not responsible for any loss, damage, dissatisfaction, injury or legal consequence arising from inaccurate product information, misleading descriptions, counterfeits or defective products.
• Prices shown are not binding quotes and are subject to change at any time. Prices displayed may not reflect current retailer pricing at the moment you click.
• Where a price is shown in a currency different from the one the retailer or affiliate network actually charges in, it has been converted using a fixed reference rate that is updated periodically, not a live exchange rate. The converted figure is an approximation for comparison purposes only, and the amount you are actually charged is set by your card network or payment provider at the time of purchase, which may differ from the converted figure shown.
• Affiliate tracking is imperfect. Clicks may not be tracked, transactions may not attribute correctly, and commissions may be lost due to technical failures beyond Velia's control.
• Product warranties are from the manufacturer only. Velia provides no warranty on any product sold by a third-party retailer.
• You must comply with all local laws regarding your purchase, including age restrictions, import regulations, licensing requirements and prohibited product categories.
• Seller reputation can change at any time. A seller's ratings, reviews or account status may change after you click but before you complete your purchase.

8.1 No professional advice. Nothing on the Service constitutes medical advice, diagnosis, treatment or recommendations; legal advice or counsel; financial advice, investment recommendations or financial planning; or professional recommendations of any kind. If you need medical, legal or financial advice, consult a qualified professional. Do not rely on product information, reviews or recommendations on Velia as a substitute for professional advice.

8.2 Service modifications & content removal. Velia reserves the right to remove, delist or hide any product from the Service at any time and without notice; to modify, disable or remove affiliate links without notice; to change, suspend or discontinue any feature; to stop indexing products from any retailer or seller; and to update product information, prices or listings as we see fit. No user has a right to any specific listing remaining on the Service, and removing a listing does not oblige Velia to refund any fees, credits or commissions.

8.3 Removal of creator content. The same applies to content you upload. Velia may remove any individual look — including its photograph and the product it points to — from a creator page at any time, at our discretion and without prior notice, including in response to a complaint from a rights holder, a retailer or another user. Grounds include, without limitation, apparent infringement of a third party's rights, counterfeit, recalled or unsafe goods, and any breach of these Terms. Removal of an individual look does not terminate your account or your page, and does not affect commission already earned on clicks that look received. Suspension or removal of an entire creator page is governed by clause 15.

Velia does not endorse, recommend or vouch for:

• Any products, services or sellers listed on the Service.
• The quality, reliability, authenticity or safety of any product.
• The reputation, trustworthiness or legitimacy of any seller or retailer.
• That any product is suitable for any particular use or user.

The mere fact that a product or seller appears on Velia does not constitute an endorsement or guarantee. You are solely responsible for independently evaluating products and sellers before purchasing. Velia makes no representations about third-party sellers, their conduct, or their ability to deliver products or honour warranties.

Velia is merely a referral service that provides affiliate links. Velia is not responsible for those links or anything accessed through them. Velia's only function is to provide comparison information and generate affiliate links. Velia:

• Does not create, maintain, test or validate the affiliate links.
• Does not guarantee that affiliate links are functional or accurate, or that they will work.
• Does not monitor or audit the links provided.
• Is not responsible if affiliate links are broken or expired, or lead to incorrect products.
• Does not guarantee that a product we show or link to is the exact same item you (as a creator) originally added to your page — matched listings can differ in size, colour, condition or exact variant.
• Does not guarantee that commissions will be earned from clicks on Velia's links.
• Does not control any aspect of what happens after you click a link.

Velia is not a seller, fulfilment provider, payment processor, or party to any transaction. All purchases through Velia affiliate links are direct transactions between you and the retailer (eBay, Amazon or another third-party seller). Velia does not:

11.1 Retailer responsibility. Control, own or operate retailer inventory, pricing, shipping or delivery; guarantee retailer legitimacy, reputation or reliability; prevent fraud, scams, counterfeits or seller misconduct; process refunds, accept returns or issue credits; handle complaints, disputes or customer service requests; or enforce retailer compliance with laws or their own policies.

11.2 Transaction responsibility. Process payments or authorise charges; refund money or process reversals; issue replacement items or resolve shipping issues; mediate disputes between you and retailers; guarantee that orders will be fulfilled or that items will arrive; or inspect items for quality, safety or authenticity upon arrival.

11.3 Your recourse. If you have any issue with your order, delivery, quality, pricing, fraud, refunds, returns or the retailer itself, contact the retailer directly — not Velia. We cannot resolve retailer-related issues. Contact the retailer's customer service; your payment processor, if there was fraud or an unauthorised charge; your credit card company or bank, if necessary; or law enforcement, if you believe you have been defrauded.

Velia is not responsible for retailer conduct, non-delivery, counterfeit products, defective items, misrepresentation, fraud by sellers, or any other transaction-related issue.

12.1 Disclaimer of warranties. THE SERVICE IS PROVIDED “AS-IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. Velia disclaims all warranties, including merchantability, fitness for a particular purpose and non-infringement; accuracy, completeness, reliability or timeliness of information; uninterrupted or error-free service; absence of viruses or malicious code; that products will be delivered, legitimate or suitable for purchase; and that affiliate links will function, be accurate or generate commissions. Your use of the Service is entirely at your own risk.

12.2 Limitation of damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, VELIA SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, consequential, special or punitive damages.
• Loss of profits, revenue, data or business opportunity.
• Damages arising from your use of, or inability to use, the Service.
• Third-party conduct, retailer conduct or claims.
• Product defects, injuries, fraud or losses from any purchase.
• Non-delivery of items, counterfeit products or retailer misconduct.
• Any liability arising from transactions with third-party sellers.
• Unpaid or delayed commissions.
• Lost clicks or sales not tracked by affiliate networks.
• Chargebacks, refunds or clawbacks from affiliate networks.
• Claims that Velia owes you affiliate earnings.
• Claims arising from affiliate network disputes or errors.
• Claims that commission calculations were inaccurate.

Specifically: Velia is not liable for any unpaid commissions, regardless of the reason. If you are not paid by the affiliate network, Velia owes you nothing.

Velia's total liability for any claim shall not exceed $10 CAD. This limitation applies regardless of whether Velia was advised of the possibility of such damages, and regardless of the legal theory (contract, tort, strict liability, etc.).

12.3 Indemnification. You agree to indemnify and hold harmless Velia from any third-party claims, damages and attorney's fees arising directly from your material violation of these Terms (fraud, click fraud, unlawful use); your infringement of third-party intellectual property rights; your violation of applicable law in your use of the Service; or your misrepresentation or misuse of Velia affiliate links. This indemnification does not apply to claims arising from Velia's gross negligence, wilful misconduct or breach of these Terms.

You acknowledge and agree that:

• All shipping, delivery and fulfilment are the sole responsibility of the retailer.
• Velia does not control, guarantee or mediate delivery times, methods or costs.
• Shipping delays, lost packages and delivery failures are between you and the retailer or carrier, and Velia is not responsible for packages lost in transit, damaged in shipping or never delivered.
• Return policies and refund processes are set by the retailer, not Velia. Velia does not process returns or refunds.
• Customs duties, import taxes and tariffs, where applicable, are your responsibility. Velia is not liable for unexpected import costs.
• Some sellers may not ship to your location. Verify shipping availability before purchasing.
• Payment methods accepted may vary by seller. Verify that payment options are compatible with your payment method.

The Service integrates with eBay, payment processors, analytics platforms (PostHog), error tracking and rate-limiting infrastructure (Sentry, Upstash) and other third parties — see the Privacy Policy for what each one receives. Your use is subject to those parties' terms of service. Velia does not control third-party services, retailers or seller conduct; is not responsible for third-party conduct, data breaches, service interruptions or fraud; makes no warranty regarding third-party data, services or seller reliability; and may discontinue integrations at any time.

15.1 Termination by you. You may delete your account at any time through account settings.

15.2 Termination by Velia. Velia may suspend or terminate your account immediately, without notice, if:

• You violate these Terms.
• You engage in fraud, abuse or illegal conduct.
• We reasonably believe you pose a security or legal risk.
• Your account appears to involve money laundering, fraud or other illegal activity.
• You repeatedly contact Velia to dispute product quality, delivery or retailer issues after being directed to the retailer.
• You engage in click fraud, fake purchases or commission manipulation.
• You boost, amplify or artificially promote Velia affiliate links using paid ads, paid promotion or artificial engagement methods without Velia's prior written approval.
• You use Velia affiliate links on websites, platforms, apps or services that have not been pre-approved by Velia in writing.
• You use Velia affiliate links in violation of the Acceptable Use Policy or against Velia's explicit instructions regarding proper link usage.
• You violate any affiliate network's terms of service.
• We discover fraudulent activity on your account.
• You repeatedly contact Velia after being instructed that commission matters must be resolved with the affiliate network.
• Your creator page falls short of the activity requirement in clause 6.5, in which case we will email you before the page is closed.

15.3 If you close your own account. Closing your account yourself doesn't forfeit commissions the affiliate network had already confirmed before you closed it — those are still paid out on the normal timeline in 6.1–6.2. Anything still pending confirmation at that point is treated the same as it would be for an active account: paid if and when the network confirms it. Your account and data are deleted per the Privacy Policy, and you lose access to the Service.

15.4 If Velia terminates for a violation. Where Velia ends your account for the kind of violation described in 15.2 or 6.5.1, your account and data are deleted per the Privacy Policy, you lose access to the Service, and any unpaid commissions — pending or earned — are forfeited rather than paid out. This reflects the forfeiture already described in 6.5.1, not a separate, additional penalty.

Velia may modify these Terms at any time. Changes to non-material provisions are effective upon posting, and your continued use of the Service constitutes acceptance. Material changes — those that significantly alter your rights, increase fees or commission restrictions, change payment terms, or expand data sharing — will be announced by email at least 30 days before they take effect. If you do not accept material changes, you must delete your account before the change takes effect. Continued use after the effective date of material changes constitutes acceptance of the updated Terms.

17.1 Informal resolution. Before initiating legal action, you agree to attempt to resolve disputes with Velia by sending a detailed written notice to support@joinvelia.com. Velia will attempt to respond within 30 days or as soon as reasonably practicable. For privacy-related requests sent to support@joinvelia.com, Velia will respond within 30 days as required by applicable privacy law. Disputes regarding product quality, delivery, retailer conduct or transactions are not disputes with Velia and should be directed to the retailer. Commission disputes, unpaid earnings claims and affiliate-related grievances must be pursued with the underlying affiliate network, except where clause 6.5.1 applies.

17.2 Binding arbitration. If informal resolution fails, you and Velia agree to resolve all disputes through binding arbitration rather than in court, with limited exceptions: small claims under $5,000 may be brought in any court of competent jurisdiction, and injunctive relief for intellectual property infringement may be sought in court. You agree to arbitration in Toronto, Ontario, administered by JAMS or an equivalent Canadian arbitration service under its applicable rules. For claims under $25,000, Velia will pay all JAMS filing fees and administrative costs; each party is responsible for their own attorney fees and expert witnesses. For claims of $25,000 or more, arbitration costs are split equally between the parties.

17.3 No class actions. You agree not to bring or participate in class action, collective action or representative action lawsuits, to the maximum extent permitted by law. Disputes must be resolved individually.

17.4 Waiver of jury trial. You waive your right to a jury trial and the right to appeal arbitration awards, except on limited grounds.

These Terms are governed by the laws of the Province of Ontario, without regard to conflict of law principles. Jurisdiction for any legal proceeding, where permitted, is exclusively in Ontario.

If any provision of these Terms is found unenforceable, that provision is severed, but all other provisions remain in full force and effect.

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Velia regarding the Service. No other communications, negotiations or agreements apply.

Velia's failure to enforce any right or provision does not waive that right or provision.

Provisions that by their nature should survive termination — Intellectual Property, Limitation of Liability, Indemnification, Dispute Resolution and Governing Law — remain in effect after termination.
